Sales Terms & Conditions

These Sales Terms & Conditions apply to all vehicle orders, purchases, export arrangements, and shipping agreements concluded between HUMERA STARS JAPAN (Humera Stars. JP Co., LTD.) ("the Company") and the Buyer ("Customer / Importer / Partner").

1. Commercial Terms & Quotation Basis

• Vehicles supplied by HUMERA STARS JAPAN are sold on FOB (Free on Board), CFR / C&F (Cost & Freight), or CIF (Cost, Insurance & Freight) terms in accordance with Incoterms.
• Pre-Export Inspection: If the destination country requires mandatory pre-shipment inspections (e.g., JEVIC, EAA, QISJ, Bureau Veritas, ATJ), the Buyer must notify the Company prior to export booking.
• Unless otherwise agreed in writing, destination customs duties, import clearance fees, port storage, and inland transport in the importing country remain the sole responsibility of the Buyer.

2. Deposit & Payment Terms

• A deposit ranging from 50% to 100% of the total invoice amount is required upon issuance of the Proforma Invoice to secure the vehicle and begin export arrangements.
• All international bank wire fees (Telegraphic Transfer / TT charges) and correspondent intermediary banking fees are the responsibility of the sending party (Buyer).
• Verified Bank Accounts: Payments must be made exclusively to the official Tokyo Mitsubishi MUFG Bank accounts published on our Payment Information page.
• Full 100% upfront payments before vessel departure may qualify for priority vessel booking and reduced processing timelines.

3. Shipping & Consignee Confirmation

• Upon order confirmation, a Shipping Order (SO) and draft Bill of Lading (B/L) will be prepared and sent to the Buyer for verification.
• The Buyer is responsible for verifying the Consignee Name, Address, Notify Party, and Destination Port on the draft B/L before vessel departure. Any amendments requested after vessel departure or final manifest submission may incur carrier amendment penalties.

4. Documentation & Courier Dispatch

• Following receipt of the complete final balance, all original shipping documents will be dispatched to the Buyer's designated delivery address via DHL / FedEx international courier.
• The package typically contains:
  • Commercial Invoice (Stamped & Signed)
  • Original Japanese Export Certificate (抹消謄本)
  • Official English Translated Export Certificate
  • Full Set of Original Ocean Bills of Lading (B/L)
  • Pre-Export Inspection Certificate (where required)
  • Marine Insurance Certificate (for CIF shipments)
• An online tracking number will be provided immediately upon courier pickup.

5. Balance Payments & Cancellation Policy

• The remaining balance must be paid within 7 working days following vessel departure from Japan.
• If full balance payment is not confirmed within 10 working days prior to the estimated vessel arrival at the destination port, HUMERA STARS JAPAN reserves the right to withhold original documents, hold cargo, and if necessary, resell the vehicle to mitigate storage and shipping losses.

6. Governing Law & Jurisdiction

These Sales Terms & Conditions are governed by and construed in accordance with the laws of Japan. Any disputes arising in connection with these terms shall be subject to the exclusive jurisdiction of the competent courts of Japan.
